Ra Booksby Ascension SoftwareThese Terms of Service ("Terms") are an agreement between you (the business or person who signs up, called "Customer" or "you") and Harding & Sons Enterprise Inc., a New York corporation located in the Rochester, New York area ("Ra Books", "we", "us"). They cover your use of the Ra Books accounting software, the desktop app, the customer portal, and related services (the "Service"). By clicking "I Agree", creating an account, or using the Service, you accept these Terms. If you accept on behalf of a business, you confirm you are authorized to bind that business.
Ra Books is bookkeeping and accounting software for small businesses. It lets you keep a chart of accounts, record invoices, bills, payments and bank transactions, run reports, send invoices by email or text, accept online payments through third-party processors, and share your books with your accountant. Features may change over time. We will not remove a core feature you are paying for during your current paid year without giving you notice and a fair alternative.
You are responsible for everyone you give a login to, for keeping passwords private, and for what happens under your logins. Tell us right away if you think a login has been misused. You may invite your outside accountant or bookkeeper; they can see and change your books with the access you give them, and you are responsible for that access. You can remove anyone's access at any time.
Everything you put into the Service — your books, customer and vendor lists, transactions, documents, receipts and files ("Customer Data") — belongs to you. You give us permission to store, copy, process and display Customer Data only as needed to run, secure, back up and support the Service and as described in our Privacy Policy. We do not sell Customer Data and we do not use it to advertise to you or anyone else. Each company's books are kept in a separate database.
The Service is a tool. It does not give accounting, tax, legal or financial advice, and suggestions it makes (including AI suggestions) may be wrong. You and your accountant are responsible for reviewing your books, your tax filings and your compliance with the law. Nothing in the Service makes us your accountant, tax preparer or fiduciary.
Some features, such as categorizing bank transactions and reading receipt photos, use artificial intelligence provided by Anthropic. When you use them, the relevant transaction details or images are sent to Anthropic to produce a suggestion. Suggestions are never recorded in your books until a person approves them. [You can turn AI suggestions off for a company under Company > My Company.]
Online card and bank (ACH) payments are processed by third parties such as Stripe and Helcim under their own agreements, which you must accept with them directly. We do not hold your customers' money and are not responsible for processor fees, holds, chargebacks or disputes. Ra Books does not currently charge a fee on online payments. We will give at least 30 days' notice before adding or changing a platform fee. Text messages are sent through Twilio and email through Amazon Web Services (Amazon SES). You are responsible for having your customers' permission to text and email them, for honoring opt-outs (customers can reply STOP to stop texts), and for following laws such as the TCPA and CAN-SPAM. Messages identify your business by name and may be sent from a number shared by Ra Books customers.
The Service is billed [yearly in advance]. Your subscription renews each year on its renewal date unless you or we cancel before then. We will send a renewal invoice [at least 30 days] before the renewal date. Fees are due by the renewal date. [Fees are non-refundable, except that if we end the Service for a reason other than your breach, we will refund the unused part of your prepaid year.] If payment is more than [30] days late we may suspend access until it is paid; your data is kept safe while suspended. We may change prices for future renewal years with at least [60] days' notice. Prices do not include taxes, which you pay if they apply.
You will not use the Service to break the law, send spam, store data you have no right to store, try to get into other customers' data, interfere with or overload the Service, or copy, resell or reverse engineer the software except as the law allows.
We back up the Service daily and keep backups for [30] days. We use reasonable administrative, technical and physical safeguards to protect Customer Data. We aim to keep the Service available but do not promise it will be uninterrupted or error-free; planned maintenance will be scheduled outside normal business hours when we can. You are encouraged to keep your own copies of important reports and exports.
You may cancel at any time by contacting us; cancellation takes effect at the end of your paid year unless you ask otherwise. For [90] days after your account ends you may ask us for an export of your books (reports and data files). After that we may delete Customer Data, except backups that are deleted on their normal schedule and records we must keep by law. We may end these Terms if you seriously breach them and do not fix the breach within [15] days of notice.
EXCEPT AS STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA (EXCEPT OUR OBLIGATIONS TO BACK UP AND PROTECT DATA ABOVE), AND OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT BE MORE THAN THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply where the law does not allow them.
You will defend and hold us harmless from claims by third parties arising from your Customer Data, your messages to your customers, or your breach of these Terms.
We may update these Terms. If a change is material we will tell you in advance (for example in the app or by email) and ask you to accept the new version. If you do not agree, you may cancel and receive a prorated refund of prepaid fees for the rest of the year.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Monroe County, New York, and both parties consent to that venue.
These Terms (with the Privacy Policy and any order or invoice) are the whole agreement about the Service. If part of them can't be enforced, the rest still applies. Neither party may assign these Terms without the other's consent, except to a successor of its business. Delays beyond a party's reasonable control (other than paying fees) are excused.
